SubLoop — Terms of Service

Welcome to SubLoop. These Terms of Service ("Terms") are an agreement between you and Backstage Labs LLC, a Colorado limited liability company ("Backstage Labs," "we," "us"), and govern your use of the SubLoop application, website (subloopapp.com), and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. What SubLoop Is

SubLoop is a staff-facing scheduling and communication tool for fitness and wellness studios. It helps studios manage instructor substitutions, staff announcements, business calendars, and team messaging, and can synchronize schedule information with the studio's third-party scheduling platform (such as Mindbody) when the studio authorizes that connection.

2. Accounts and Roles

- Studios. A studio owner or manager ("Studio") creates a studio workspace, invites staff, controls staff roles and qualifications, and is our customer.

- Staff. Instructors and staff members join by invitation from their Studio. Staff accounts exist within the Studio's workspace, and the Studio controls membership.

- You agree to provide accurate information, keep your login secure, and be responsible for activity under your account. You must be at least 18 years old to use the Service.

3. Studio Responsibilities and Scheduling Platform Connections

- The Studio is responsible for ensuring it has the right to connect SubLoop to its scheduling platform account (e.g., Mindbody) and for the accuracy of its staff list, qualifications, and schedule settings.

- SubLoop writes substitution changes to the connected platform as directed by Studio settings and staff actions. The Studio remains responsible for its official schedule. SubLoop is a tool, not a guarantee: we do not guarantee that any class will be covered, that any alert will be received, or that third-party platforms will accept or display updates correctly.

- SubLoop is independent software built by Backstage Labs LLC. It is not made, endorsed, or supported by Mindbody, Inc. or any other scheduling platform.

4. Acceptable Use

You agree not to: misuse the Service or interfere with its operation; upload unlawful, infringing, or harassing content; attempt to access accounts or data that aren't yours; scrape or resell the Service; or use the Service to violate any law or any third-party platform's terms. Studios are responsible for the conduct of their staff within their workspace. We may suspend accounts that violate these Terms.

5. Your Content

Staff and Studios can post messages, photos, flyers, and other content ("Content"). You keep ownership of your Content. You grant Backstage Labs a limited license to host, store, display, and transmit your Content solely to operate the Service. The Studio controls its workspace and can access and manage Content within it. Don't post Content you don't have the right to share.

6. Our Intellectual Property

The Service — including the SubLoop name, logo, software, and design — belongs to Backstage Labs LLC and is protected by intellectual-property law (SubLoop™, U.S. trademark application pending). We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, modify, or create derivative works of the Service.

7. Fees

During the early-access/pilot period, the Service may be provided free of charge. When paid subscriptions launch, pricing will be presented to Studios before they are charged, and continued use of paid features will require an active subscription. We will give Studios reasonable advance notice before any free period ends.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCHEDULE DATA WILL ALWAYS BE ACCURATE OR SYNCHRONIZED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BACKSTAGE LABS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING MISSED OR UNCOVERED CLASSES, SCHEDULING ERRORS, OR THIRD-PARTY PLATFORM ISSUES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS THE STUDIO PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

10. Termination

You may stop using the Service at any time; Studios may cancel their workspace at any time. We may suspend or terminate access for violation of these Terms or discontinue the Service with reasonable notice. Sections 5–9 and 11–12 survive termination.

11. Changes

We may update these Terms as the Service evolves. If we make material changes, we'll notify Studios (e.g., by email or in-app) before they take effect. Continued use after changes take effect means you accept them.

12. Governing Law and Contact

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Denver, Colorado.
